A. ランゲ＆ゾーネウェブフォーム利用規約

1. 利用規約について

A. ランゲ＆ゾーネウェブフォーム（以下、「A. ランゲ＆ゾーネウェブフォーム」という）は、Lange Uhren GmbHが開発したツールであり、これを使用して正規小売店および外部のA. ランゲ＆ゾーネブティックはお客様に関連する情報を収集することができます。

正規販売店（第3条に定義される）は、A. ランゲ＆ゾーネウェブフォームを利用することに関心を持ち、以下の諸条件（以下、「利用規約」という）を常に遵守することに同意します。

A. ランゲ＆ゾーネウェブフォームを使用する前に、必ず本利用規約をよくお読みください。A. ランゲ＆ゾーネウェブフォームを使用することにより、正規販売店は、本規約を承諾し、同意するものとみなされます。正規販売店は、本利用規約を承諾したすべてのユーザーが正規販売店に代わりこれを行うことを表明し、保証します。正規販売店が本利用規約に同意しない場合、A. ランゲ＆ゾーネウェブフォームの使用を継続することはできません。

誤解を避けるために明記すると、当該正規販売店へのA. ランゲ＆ゾーネウェブフォームの提供は、正規販売店が、最新の正規小売販売契約書（以下、「正規販売店契約書」という）またはブティック契約書（以下、「ブティック契約書」という）を締結した相手方の該当企業（以下、「ALS関連会社」または「当社」という）によって行われるものであり、かかるALS関連会社は本利用規約を執行する権限を有する企業であるものとします。（i）正規販売店契約書またはブティック契約書の規定と（ii）本利用規約との間で矛盾が生じた場合、正規販売店契約書、またはブティック契約書（適用する場合）の規定が優先するものとします。

2. 利用規約の更新

当社は、本利用規約を随時変更することがあります。最新の本利用規約は、A. ランゲ＆ゾーネウェブフォームでご覧いただけます。本利用規約の更新版は、掲載日に直ちに効力を有するものとし、A. ランゲ＆ゾーネウェブフォームの使用、および当社と正規販売店との関係性はこれに準拠するものとします。正規販売店は、A. ランゲ＆ゾーネウェブフォームを継続して使用することにより、更新および修正された規定に従うことに同意するとみなされます。

3. 基本条項

a. A. ランゲ＆ゾーネウェブフォームへのアクセスは、ALS関連会社の正規販売店契約書またはALS関連会社のブティック契約書に署名を行った、ALS関連会社のその時点での正規小売店およびALS関連会社の外部ブティック（以下、総称して「正規販売店」という）、ならびにそれぞれの承認された従業員のみに制限されます。

b. 正規販売店は、A. ランゲ＆ゾーネウェブフォームへのアクセスおよび／またはその使用に関し、ALS関連会社が随時行う指示に従うことに同意します。またALS関連会社は、A. ランゲ＆ゾーネウェブフォームの機能の全部または一部の使用を義務付けるかどうか判断することができます。この場合、ALS関連会社は、A. ランゲ＆ゾーネウェブフォームに掲示することにより、事前に正規販売店に通知します。

4. アクセスと使用

a. アクセス：正規販売店は、その時点における自社従業員のためである（それ以外の人を含まない）場合に限り、A. ランゲ＆ゾーネウェブフォームへのアクセス情報をALS関連会社に要求することができることに同意し、これを承認します。

(i) 個別のアカウント情報は、承認された従業員それぞれに対し個別のユーザーネームおよびパスワードが付与される形で作成された後、ALS関連会社に代わり現地の管理会社によって正規販売店に送信され、それによってA. ランゲ＆ゾーネウェブフォームへのアクセスおよびその使用が許可されます。すべてのアカウント情報は、完全にその時点における承認された正規販売店の従業員の個人情報であり、これをその他の人と共有、またはその他の人へ開示することはできません。A. ランゲ＆ゾーネウェブフォームへのアクセスは、必ず正規販売店の正規の店舗から行われるものとします。正規販売店は、本利用規約を承諾したすべてのユーザーが正規販売店に代わりこれを行うことを表明し、保証します。

(ii) 正規販売店は、その役員、取締役、従業員、代理人（現在または過去を問わない）、または正規販売店のアカウント情報を利用してA. ランゲ＆ゾーネウェブフォームへのアクセス権を得ているその他第三者のいずれかによって行われた不正行為を含む、そのアカウント情報において行われた運用、誤用、操作、またはその他の作為または不作為すべてに責任を負うものとします。

(iii) 上記第4条a（i）項の定めにかかわらず、正規販売店は、さらに以下の事項に同意します。

-- あらゆる性質のセキュリティの侵害（アカウント情報の盗難、セキュリティの迂回またはハッキング行為など）を含む、正規販売店のアカウント情報に対する不正使用があることを疑う場合、および／またはこれに気付いた場合、正規販売店のアカウント情報の管理を担当する現地のALS関連会社の管理会社にこれを直ちに通知します。

-- 正規販売店に雇用される、承認された従業員の雇用が終了するより前に、これをALS関連会社に通知し、かかる雇用終了前に、かかる承認された従業員のA. ランゲ＆ゾーネウェブフォームへのアクセスをALS関連会社が停止することができるようにします。正規販売店は、本手順を円滑にするため、ALS関連会社からの指示に従うものとします。

-- 正規販売店は、A. ランゲ＆ゾーネウェブフォームに入力したお客様の個人情報および本情報（かかる用語は、第5条および第6条に定義されます）のすべてについて正確性、真実性、完全性を確保し、かかるお客様の個人情報および本情報が確実に最新の状態であるようにします。

-- 正規販売店のA. ランゲ＆ゾーネウェブフォームへのアクセス権は、技術的な方法および関係者による操作手順（教育および啓発を含む）で管理されるコンピューターシステム、ハードウェアおよびソフトウェアを必ず使用して提供されるものとし、本情報およびお客様の個人情報が確実に不正アクセス、開示、損失または損害から安全に保護されているようにします。

-- コンピューター端末または携帯機器へのアクセスは承認された従業員に限定されること、および正規販売店の各従業員が使用後に必ずA. ランゲ＆ゾーネウェブフォームから正しくログアウトすることを確実にします。

b. アクセス権の停止／解除：正規販売店および／またはその従業員のいずれかが、本利用規約に準拠していない、これに違反している、（i）ALS関連会社および／もしくはリシュモングループのその他の関係者と（ii）正規販売店との間で締結された契約の規定を遵守していない、ならびに／またはALS関連会社および／もしくはALS関連会社のその他の関係者の権利を侵害していると、ALS関連会社が独自の裁量により合理的に考える場合、ALS関連会社は、正規販売店のA. ランゲ＆ゾーネウェブフォームへのアクセス権の全部または一部を停止および／または解除する権限を有するものとします。さらに、正規販売店とALS関連会社との取引関係が何らかの理由により解除された場合、ALS関連会社は、正規販売店のA. ランゲ＆ゾーネウェブフォームへのアクセス権を直ちに解除します。ALS関連会社が、何らかの理由により、A. ランゲ＆ゾーネウェブフォームを使用できる正規販売店の権利を解除した場合でも、これはいかなる性質の求償権も正規販売店に生じさせるものではありません。

c. 使用および機能：現在、A. ランゲ＆ゾーネウェブフォームの使用は、時計の申込みおよび／または購入時のお客様の個人情報および本情報の収集に限定されています。

5. 正規販売店による個人情報の使用

a. A. ランゲ＆ゾーネウェブフォームを使用する正規販売店およびその従業員は、A. ランゲ＆ゾーネウェブフォームの使用に関連する個人情報およびサーバーログデータ（以下、「本情報」という）をALS関連会社が収集することに、本規約により明示的に同意します。かかる本情報は、A. ランゲ＆ゾーネウェブフォームに接続し、システムの使用を登録した時点で、トラッキングソフトウェア（クッキーを含む）を通じて自動的にALS関連会社に提供されます。

b. 具体的には、ALS関連会社は、A. ランゲ＆ゾーネウェブフォームおよびサービスの改良、正規販売店からの要望への対応、ならびに／または提出される問い合わせもしくは意見への回答のために本情報を使用します。

c. またALS関連会社は、本情報を使用し、A. ランゲ＆ゾーネウェブフォームの使用状況を調査し、かつA. ランゲ＆ゾーネウェブフォームの悪用を防止します。

d. 正規販売店は、その従業員に対し、ALS関連会社が従業員の個人情報を収集する旨を通知し、適用される法令に義務付けられる場合は、かかる収集および使用について従業員の承諾を得ることに責任を負います。さらに正規販売店は、本情報に関する情報漏洩により、裁判所または規制機関に課せられた過料および／または懲戒罰に起因する、またはこれに関連する損害賠償および合理的な関連費用について、ALS関連会社、その関係会社、ならびにそれぞれの社員、代理人および役員を防御し、補償し、かつすべて免責することに同意します。

e. ALS関連会社の関係者との共同使用において、およびALS関連会社を代理して本情報を取り扱うサービス提供者に対し本情報が提供されていますが、ALS関連会社は、かかる本情報を安全に保管する上での合理的な措置を講じます。本利用規約に別途規定されている場合を除き、ALS関係会社は、かかる本情報を第三者と共有、または第三者に開示しません。ただし、かかる開示が、法または裁判所／行政の決定により求められる場合を除きます。

6. お客様の個人情報の収集

本条は、お客様の個人情報（以下に定義する）をALS関連会社と共有する正規販売店に適用されます。かかる場合、お客様の個人情報は、正規販売店、Lange Uhren GmbHの二つの個別の情報管理者を有します。

a. 正規販売店は、いかなるときも、適用する個人情報保護法およびプライバシー法を含む、お客様の個人情報の収集および取り扱いに適用されるすべての適用される法令および／または規制を遵守するものとします。本条における「お客様の個人情報」とは、顧客の氏名、Eメールアドレス、電話番号、住所、ソーシャルメディアのハンドル名、生年月日、年齢および国籍、購入内容およびマーケティングに関する意向、ならびに顧客が自ら提供したその他個人情報を含みますが、これに限定されるものではありません。

b. 正規販売店は、適切な技術的および組織的措置を講じ、不正または違法な取扱い、および偶発的な喪失、破壊、破損、改変または開示に対し、お客様の個人情報を保護するものとします。正規販売店は、お客様の個人情報の利用を管理し、必ずかかる情報を利用する必要のある従業員のみがアクセス権を付与されているようにします。

c. 正規販売店は、お客様の個人情報をALS関連会社に提供、またはALS関連会社と共有する旨をそのお客様にご連絡し、適用される法令により義務付けられる場合は、お客様から承諾を得ることに責任を負います。正規販売店は、かかるお客様の個人情報の収集に関連し、ALS関連会社の明示する手続きに従うものとします。適用される法令で認められる場合、ALS関連会社は、自社のマーケティング調査およびお客様調査、ならびに管理目的においてお客様の個人情報を使用し、関係会社と、またはALS関連会社もしくはその関係会社から委託を受けてお客様の個人情報を取り扱うサービスプロバイダーと、お客様の個人情報を世界規模で共有する権限を有するものとします。さらに正規販売店は、お客様の個人情報に関する情報漏洩により、裁判所または規制機関に課せられた過料および／または懲戒罰に起因する、またはこれに関連する損害賠償および合理的な関連費用について、ALS関連会社、その関係会社、ならびにそれぞれの社員、代理人および役員を防御し、補償し、かつすべて免責することに同意します。

d. 正規販売店およびALS関連会社は、言及により本利用規約に組み込まれる、EU一般データ保護規則第28条（または類似する法における同等の規定）（該当する場合）に基づくそれぞれの義務も同様に遵守するものとします。

e. 正規販売店およびALS関連会社は、該当するお客様の個人情報の開示、修正、削除および／または停止に対するお客様の要求に応じるため、または裁判所命令もしくは行政命令に従うことにおいて、互いに全面的に協力することを確約します。

7. 守秘義務

a. 正規販売店は、A. ランゲ＆ゾーネウェブフォームへのアクセス中または終了後のいずれにおいても、A. ランゲ＆ゾーネウェブフォームに関連する情報または文書を第三者に開示せず、ここに記載する内容以外の自らの目的または他者の目的のために使用しないことを表明し、保証します。本義務は、技術、業務、製品、戦略、顧客、宣伝、財務、法務に関する情報またはあらゆる性質のその他情報のすべてに適用されることが了承されます。

b. A. ランゲ＆ゾーネウェブフォームに関連する情報、文書またはその一部のいずれも、いかなる性質の手段によっても再現、複製、再版、掲示、複写、送信、再設計することはできず、またはここに記載される以外の方法で使用、共有、もしくは第三者への配布を行うことはできません。

c. 第7.a条および第7.b条は、以下のいずれの情報にも適用されないものとします。（i）本利用規約の違反以外の方法で公開された情報、（ii）守秘義務に違反することなく第三者から正当に受領した情報、（iii）秘密情報を使用することなく、正規販売店が個別に開発し、これが正規販売店の書面による記録により証明される情報、（iv）開示時より前に正規販売店が知っており、これが正規販売店の開示前の書面による記録により証明される情報、（v）適用される法令または裁判所命令に従って作成された情報（ただし、ALS関連会社がかかる法的命令について合理的な通知を付与され、当該作成の阻止または制限を試みる機会が与えられることを条件とする）。

d. A. ランゲ＆ゾーネウェブフォームでアクセス可能な、またはあらゆる形式で正規販売店および／またはその従業員に転送された、回状、具体的指示などの（ただしこれらに限定されない）すべての付属文書を含む、コンピューターで読み取り可能なファイルはすべて、いかなるときでも、ALS関連会社および／またはその関係会社の所有物であり、これらは国際的および国内の著作権法により保護されています。

e. A. ランゲ＆ゾーネウェブフォームにアクセスし、これを使用できる正規販売店の権利が終了した場合、正規販売店がA. ランゲ＆ゾーネウェブフォームを通じて入手した文書を含む、あらゆる形式における秘密情報を反映するあらゆる文書、データは、直ちに破壊されるものとし、コンピューターで読み取り可能なコピーは正規販売店のコンピューターシステムから削除されるものとします。正規販売店は、ALS関連会社からの依頼に応じて、かかる情報の削除が遂行された旨の書面による確認書を提出するものとします。

8. 賠償責任

a. 本条は、A. ランゲ＆ゾーネウェブフォーム、および正規販売店によるA. ランゲ＆ゾーネウェブフォームの利用にのみ適用され、正規販売店に販売される製品には適用されません。

b. 正規販売店は、その役員、取締役、従業員、および／または正規販売店が現在の利用規約に違反してアクセス権を付与したその他の第三者が行った、現在の利用規約に違反するあらゆる作為または不作為について責めを負うものとします。正規販売店は、正規販売店による違反を原因として発生する、またはその役員、取締役、従業員、および／もしくは前述のその他第三者が利用規約を遵守しなかったことから発生する、あらゆる損失、費用、損害または経費について、ALS関連会社、その関係会社、代理人、継承人および譲受人をすべて補償し、防御し、これに害を与えないことに同意します。本条の規定は、正規販売店のA. ランゲ＆ゾーネウェブフォームへのアクセス権が終了した後も存続するものとします。

c. ALS関連会社は、提供される情報の正確性および完全性を確保するよう努めます。

d. ALS関連会社は、A. ランゲ＆ゾーネウェブフォームの機能面および／もしくは技術面に誤りがないこと、またはA. ランゲ＆ゾーネウェブフォームもしくは利用可能なサーバーにウィルスもしくはその他の有害な要素がないことを保証しません。A. ランゲ＆ゾーネウェブフォームを使用することにより、所有物、資材、設備、データまたはその他要素の修理または交換の必要性が生じた場合でも、ALS関連会社は、その費用に対して責任を負わないものとします。前述を制限することなく、 A. ランゲ＆ゾーネウェブフォームにおけるすべては、適用される法律に認められる範囲内において、「現状有姿」および「提供可能な場合に限り提供しうる形」で提供され、明示的または黙示的であるかを問わず、商品適格性、満足できる品質、特定の目的への適合性、合理的な注意および技能、または非侵害のあらゆる黙示的な保証を含むがこれに限定されない、いかなる種類の保証も付しません。ALS関連会社およびそのサプライヤーは、ソフトウェア、ショートメール、ダウンロード、画像、およびリンクについて、または A. ランゲ＆ゾーネウェブフォームを使用して入手した結果について保証を行いません。

e. 適用される法律に認められる範囲内において、ALS関連会社は、A. ランゲ＆ゾーネウェブフォームから利用可能な情報の使用に起因する、もしくはこれに関連するあらゆる種類の間接損害、付随的損害、特別損害もしくは結果損害、または使用不能、営業停止、逸失利益もしくはデータの損失に関する賠償責任について、訴訟形態を問わず、契約、不法行為（過失を含む）、その他いかなる原因によるものであっても、ALS関連会社がかかる損害の可能性を知らされていた場合であっても、その責任を負うものではありません。

f. 正規販売店は、その役員、取締役、従業員（過去または現在を問わない）、および／または正規販売店が現在の利用規約に違反してアクセス権を付与したその他の第三者が行った、現在の利用規約に違反するあらゆる作為または不作為について責めを負うものとします。本条の規定は、正規販売店のA. ランゲ＆ゾーネウェブフォームへのアクセス権が終了した後も存続するものとします。

9. 一般条項

a. 本利用規約のいずれかの規定または規定の一部が、違法、無効または執行不能であることが判明した場合、かかる規定または規定の一部は、本利用規約の一部を構成するとはみなされないものとし、残りの規定の合法性、有効性または執行可能性は、その他適用される法令の運用にもとづく要求がある場合を除き、影響を受けないものとします。

b. 本利用規約は、A. ランゲ＆ゾーネウェブフォームの利用に関連する正規販売店および当社との完全合意を構成し、口頭または書面によるかを問わず、かかる主題に関し当事者らが作成した、あらゆる種類のすべての従前の合意、契約書草案、協定、約束、または副契約を置き換え、かつこれを消失させるものとします。

c. 本利用規定の条項の違反についてALS関連会社が権利を行使しなかった場合であっても、これは、その他またはその後の違反についての権利放棄とはみなされません。

d. 第5、6、7、8、9および10条の規定は、正規販売店によるA. ランゲ＆ゾーネウェブフォームへのアクセス権が終了した後も存続するものとします。

10. 適用される法令および裁判管轄

a. 本利用規約は、抵触法の規定に関係なく、スイス法に準拠し、これに従い解釈されるものとします。本利用規約に起因する、またはこれに関連する紛争、議論またはクレーム（本利用規約の有効性、無効性、違反または解除を含む）は、かかる本利用規約に従い裁定を下される、または仲裁されるものとします。

b. 本利用規約の解釈、有効性、および／または適用に起因する、またはこれに関連する紛争があった場合、本契約当事者らは、紛争を友好的に解決するために誠意をもって会合を行うことに合意します。紛争の通知から30日以内に友好的な解決が見いだせない場合、当該紛争は、スイス商工会議所の国際仲裁に関するスイス規則（以下、「規則」という。規則に従い仲裁通知書が提出された日付時点で有効なもの）に従った仲裁により、解決されるものとします。仲裁は、スイス国ジュネーブで行われ、手続きにおける言語は英語であるものとします。仲裁廷は、規則に従い任命された1名の仲裁人で構成されます。仲裁裁定は、最終的であり、当事者らを拘束するものとし、当事者らは、仲裁の主題が何であったとしても、通常のまたは特別な方法であるかを問わず仲裁裁定に対し控訴することを放棄するものとします。

A. LANGE & SÖHNE WEBFORM TERMS OF USE

1. ABOUT THESE TERMS OF USE

The A. Lange & Söhne webform (hereinafter referred to as “A. Lange & Söhne Webform”) is a tool developed by Lange Uhren GmbH which enables authorized retailers as well as external boutiques of A. Lange & Söhne to collect customer-related data.

Authorized Dealer (as defined in section 3 below) is interested in accessing and using the A. Lange & Söhne Webform and agrees to comply at all times with the following terms and conditions (the "Terms of Use").

Please read these Terms of Use carefully before using the A. Lange & Söhne Webform. By using the A. Lange & Söhne Webform, Authorized Dealer signifies its assent and agreement to these Terms of Use. Authorized Dealer represents and warrants that any user accepting these Terms of Use is authorized to do so on behalf of Authorized Dealer. If Authorized Dealer does not agree to these Terms of Use, then it is not authorized to continue use of the A. Lange & Söhne Webform.

For the avoidance of doubt, provision of the A. Lange & Söhne Webform to the relevant Authorized Dealer is made by the relevant entity with which Authorized Dealer has concluded the most current authorized retailer agreement (the "Authorized Dealer Agreement") or boutique agreement (the "Boutique Agreement") (hereinafter referred to as “ALS Affiliate”, “we”, “us” or “our”) and such ALS Affiliate shall be entity shall be entitled to enforce these Terms of Use. To the extent that there is any inconsistency between (i) the provisions of the Authorized Dealer Agreement or the Boutique Agreement and (ii) these Terms of Use, the provisions of the Authorized Dealer Agreement or Boutique Agreement (as applicable) shall prevail.

2. UPDATES TO THESE TERMS OF USE

We may make changes from time to time to these Terms of Use. The latest version of these Terms of Use will always be available on the A. Lange & Söhne Webform. Any new version of these Terms of Use shall take effect and will govern the use of the A. Lange & Söhne Webform and Authorized Dealer’s relationship with us immediately upon the date of posting. By continuing to use the A. Lange & Söhne Webform, Authorized Dealer agrees to be bound by the terms of these updates and amendments.

3. GENERAL

a. Access to the A. Lange & Söhne Webform is strictly limited to ALS Affiliate’s current authorized retailers and external ALS Affiliate boutiques (referred together as "Authorized Dealer") which have signed the ALS Affiliate’s Authorized Dealer Agreement or the ALS Affiliate’s Boutique Agreement and their authorized employees.

b. Authorized Dealer agrees to comply with any subsequent instructions relating to the access and/or use of the A. Lange & Söhne Webform as may be issued by ALS Affiliate from time to time. ALS Affiliate may also decide that the use of all or part of the A. Lange & Söhne Webform's functionality is mandatory. In this event, ALS Affiliate will inform Authorized Dealer in advance by way of a posting on the A. Lange & Söhne Webform.

4. ACCESS AND USE

a. Access: Authorized Dealer hereby agrees and confirms that it will only request the A. Lange & Söhne Webform access profiles from ALS Affiliate for its own current employees, to the exclusion of any other person:

(i) Individual account profiles are created in the form of individual usernames and passwords for each authorized employee and transmitted to Authorized Dealer by their local administrator, on behalf of ALS Affiliate, thereby allowing access to and use of the A. Lange & Söhne Webform. All account profiles are strictly personal to the current authorized employees of Authorized Dealer and may not be shared with/disclosed to any other party. Access to the A. Lange & Söhne Webform shall always occur from the authorized retail premises of the Authorized Dealer. Authorized Dealer represents and warrants that any user who accepts these Terms of Use is authorized to do so on behalf of Authorized Dealer;

(ii) Authorized Dealer shall be fully liable for any operation, misuse, manipulation or any other act or omission performed under its account profiles, including any unauthorized act undertaken by one of its officers, directors, employees, agents (whether current or past) or any other third party who gains access to the A. Lange & Söhne Webform through use of the Authorized Dealer’s account profiles;

(iii) Notwithstanding section 4.a (i) above, Authorized Dealer further agrees to:

-- notify the local ALS Affiliate administrator responsible for managing Authorized Dealer’s account profile immediately in the event that it suspects and/or becomes aware of any unauthorized use of the Authorized Dealer's account profile, including security breaches of whatever nature (for example stolen account profile, circumvention or hacking);

-- notify ALS Affiliate prior to the termination of employment of any authorized employee’s employment with Authorized Dealer so that ALS Affiliate can suspend said authorized employee’s access to the A. Lange & Söhne Webform prior to such termination. Authorized Dealer shall comply with any instructions from ALS Affiliate in order to facilitate this process;

-- ensure that all Customer Data and Data (as such terms are defined in sections 5 and 6 below) entered into the A. Lange & Söhne Webform by Authorized Dealer are correct, truthful and complete and ensure that such Customer Data and Data is kept updated by Authorized Dealer;

-- ensure that Authorized Dealer’s access to the A. Lange & Söhne Webform is always provided using computer systems, hardware and software that have technical tools and related staff operational procedures (including training and awareness) that ensure that the Data and Customer Data are kept secure from unauthorized access, disclosure, loss or damage; and

-- ensure that access to its computer terminals or mobile devices is restricted to its authorized employees and that each of Authorized Dealer's employees’ logs out correctly at the end of each session from the A. Lange & Söhne Webform.

(b) Access suspension/termination: In the event that ALS Affiliate reasonably believes, at its entire discretion, that the Authorized Dealer and/or any of its employees did not comply and/or acted inconsistently with these Terms of Use and/or did not comply with the provisions of any agreement entered into between (i) ALS Affiliate and/or any other affiliate of the Richemont group and (ii) Authorized Dealer, and/or have violated ALS Affiliate's rights and/or the rights of any other affiliate of the ALS Affiliate, ALS Affiliate shall be entitled to suspend and/or cancel all or part of Authorized Dealer's access to the A. Lange & Söhne Webform immediately. Moreover, upon termination of Authorized Dealer’s business relationship with ALS Affiliate for any reason whatsoever, ALS Affiliate will cancel Authorized Dealer's access to the A. Lange & Söhne Webform forthwith. Termination of Authorized Dealer’s right to use the A. Lange & Söhne Webform for any reason whatsoever by ALS Affiliate shall not give rise to any right of indemnity of whatever nature to Authorized Dealer.

(c) Use and functionalities: The A. Lange & Söhne Webform currently allows for the collection of relevant Customer Data and Data as part of any applications for and/or purchase of a watch.

5. USE OF AUTHORIZES DEALER'S PERSONAL DATA

(a) Authorized Dealer and its employees using the A. Lange & Söhne Webform hereby expressly consent to the collection by ALS Affiliate of personal information and server log data (“Data”) relating to their use of the A. Lange & Söhne Webform, such Data being automatically provided to ALS Affiliate through tracking software (including cookies) when connecting to the A. Lange & Söhne Webform and upon registration for use of the system.

(b) ALS Affiliate uses this Data, in particular, to improve the A. Lange & Söhne Webform and services and to fulfil any requests from Authorized Dealer and/or to respond to any questions or comments they may choose to submit.

(c) ALS Affiliate also uses this Data to survey use of the A. Lange & Söhne Webform and prevent any possible abusive use of the A. Lange & Söhne Webform.

(d) Authorized Dealer is responsible for informing its employees of any collection of their personal data by ALS Affiliate and where required by applicable laws, obtaining their consent to such collection and use. Authorized Dealer further agrees to defend, hold harmless and fully indemnify ALS Affiliate, its affiliates and their personnel, agents and officers against any damages and reasonable associated costs arising out of or in connection with any fines and/or penalties imposed by courts or regulators as a result of any data breaches in respect of the Data;

(e) ALS Affiliate will take reasonable steps to store such Data securely although it will be made accessible for joint use by affiliates of the ALS Affiliate and to any service providers engaged to process the Data on behalf of ALS Affiliate. Save as otherwise specified in these Terms of Use, ALS Affiliate does not otherwise share or disclose any such Data with third parties unless such disclosure is required by law or by a court/administrative decision.

6. COLLECTION OF CUSTOMER DATA

This section applies to Authorized Dealers who share Customer Data (as defined below) with ALS Affiliate. In such cases, the Customer Data shall have two independent data controllers, namely the Authorized Dealer and Lange Uhren GmbH.

(a) Authorized Dealer shall comply at all times with all applicable laws and/or regulations governing collection and processing of client data, including applicable data protection and privacy laws. “Customer Data” referred to in this section includes, but is not limited to, full name, email address, telephone number, postal address, social media handles, date of birth, age and nationality of a client, purchase details and marketing preferences and other personal information that the client has voluntarily provided.

(b) Authorized Dealer shall implement appropriate technical and organisational measures to protect the Customer Data against unauthorized or unlawful processing and against accidental loss, destruction, damage, alteration or disclosure. Authorized Dealer shall control access to Customer Data to ensure that only those employees who need access to such data are provided with access.

(c) Authorized Dealer is responsible for informing its customers of any collection or sharing of the Customer Data by or with ALS Affiliate and where required by applicable laws, obtain their consent thereto. Authorized Dealer shall follow any processes specified by ALS Affiliate in relation to collection of such Customer Data. ALS Affiliate shall, where permissible by applicable law, be entitled to use the Customer Data for its own marketing and customer survey and administration purposes and to share the Customer Data on a worldwide basis with affiliated entities or service providers processing the Customer Data on behalf of ALS Affiliate or any affiliated entities. Authorized Dealer further agrees to defend, hold harmless and fully indemnify ALS Affiliate, its affiliates and their personnel, agents and officers against any damages and reasonable associated costs arising out of or in connection with any fines and/or penalties imposed by courts or regulators as a result of any data breaches in respect of the Customer Data;

(d) Where applicable, Authorized Dealer and ALS Affiliate shall also comply with their respective obligations under Article 28 of the European Commission Data Protection Regulation (or equivalent provision under any similar law) which is incorporated into these Terms of Use by reference.

(e) Authorized Dealer and ALS Affiliate undertake to fully cooperate with each other so as to comply with client requests for disclosure, amendment, deletion and/or suspension of the relevant Customer Data or in compliance with a court or administrative order.

7. CONFIDENTIALITY

(a) Authorized Dealer represents and guarantees that it will not disclose to any third party or use for its own purposes or purposes of others, other than as set out herein, either during or following termination of its access to the A. Lange & Söhne Webform, any information or documents relating to the A. Lange & Söhne Webform. It is understood, that this obligation applies to any technical, business, product, strategic, client, advertising, financial, legal or other information of any nature whatsoever.

(b) No material, document, or any part thereof related to the A. Lange & Söhne Webform may be reproduced, duplicated, republished, posted, copied, transmitted, re-engineered by any means of whatsoever nature, or used, shared or distributed to third parties in any way whatsoever other than as stipulated herein.

(c) Articles 7.a and 7.b shall not apply to information that is: (i) available to the public other than by a breach of these Terms of Use; (ii) rightfully received from a third party not in breach of an obligation of confidentiality; (iii) independently developed by the Authorized Dealer without access to confidential information as evidenced by the Authorized Dealer's written records; (iv) known to the Authorized Dealer prior to the time of disclosure as evidenced by Authorized Dealer's pre-disclosure written records; or (v) produced in compliance with applicable law or a court order, provided ALS Affiliate is given reasonable notice of such law order and an opportunity to attempt to preclude or limit such production.

(d) All computer readable files, including all accessory documents such as, but not limited to circular letters, specific instructions accessible from the A. Lange & Söhne Webform or forwarded to Authorized Dealer and/or its employees in whatever form are and remain the property of ALS Affiliate and/or its affiliated companies at all times and, as such, are protected by international and national copyright legislation.

(e) In the event that Authorized Dealer’s right to access and use the A. Lange & Söhne Webform is terminated, any documentation, data reflecting any confidential information, including any documents which the Authorized Dealer obtained through the A. Lange & Söhne Webform, in any form whatsoever, shall be promptly destroyed and any computer readable copies deleted from the Authorized Dealer's computer system. Authorized Dealer shall provide written confirmation that the deletion of such information has been effected upon request from ALS Affiliate.

8. LIABILITY

(a) This section applies only to the A. Lange & Söhne Webform and Authorized Dealer’s use thereof and not to the products that may be sold to Authorized Dealer.

(b) Authorized Dealer shall be liable for any act or omission in violation of the present Terms of Use performed by its officers, directors, employees, and/or any other third party to whom Authorized Dealer granted access in violation of the present Terms of Use. Authorized Dealer agrees to fully indemnify, defend and hold ALS Affiliate, its affiliated companies, agents, successors and assigns harmless from and against any loss, cost, damage or expense arising by reason of a breach by Authorized Dealer, or any non-compliance with these Terms of Use by its officers, directors, employees and/or any other third party as aforementioned. The terms of this section shall survive termination of the Authorized Dealer's access to the A. Lange & Söhne Webform.

(d) ALS Affiliate does not warrant that the functional and/or technical aspects of the A. Lange & Söhne Webform will be error free or that the A. Lange & Söhne Webform or the servers that make them available are free of viruses or other harmful components. If use of the A. Lange & Söhne Webform results in the need for servicing or replacing property, material, equipment, data or other element, ALS Affiliate is not responsible for those costs. Without limiting the foregoing, everything on the A. Lange & Söhne Webform is provided "AS IS" AND "AS AVAILABLE" AND, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, REASONABLE CARE AND SKILL, OR NON-INFRINGEMENT. ALS Affiliate and its suppliers make no warranties about the software, text, downloads, graphics, and links, or about results to be obtained from using the A. Lange & Söhne Webform.

(e) To the fullest extent permitted by applicable law, ALS Affiliate shall not be liable for any indirect, incidental, special or consequential damages of any kind arising out of or in connection with the use of information available from the A. Lange & Söhne Webform or any liability relating to any loss of use, interruption of business, lost profits or lost data, regardless of the form of action, whether in contract, tort (including negligence) or otherwise, even if ALS Affiliate has been advised of the possibility of such damages.

(f) Authorized Dealer shall be liable for any act or omission in violation of the present Terms of Use performed by its officers, directors, employees (whether past or present) and/or any other third party to whom Authorized Dealer granted access in violation of the present Terms of Use. The terms of this section shall survive termination of the Authorized Dealer's access to the A. Lange & Söhne Webform.

9. GENERAL PROVISIONS

(a) If any provision, or part of a provision, of these Terms of Use is found to be illegal, invalid or unenforceable, that provision or part-provision shall be deemed not to form part of these Terms of Use, and the legality, validity or enforceability of the remainder of the provisions of these Terms of Use shall not be affected, unless otherwise required by operation of applicable law.

(b) These Terms of Use constitute the entire agreement between Authorized Dealer and us in relation to the use of the A. Lange & Söhne Webform, and replace and extinguish all prior agreements, draft agreements, arrangements, undertakings, or collateral contracts of any nature made by the parties, whether oral or written, in relation to such subject matter.

(c) The waiver by ALS Affiliate of a breach of any provision of these Terms of Use will not operate to be interpreted as a waiver of any other or subsequent breach.

(d) The provisions of sections 5, 6, 7, 8, 9 and 10 shall survive termination of Authorized Dealer’s access to the A. Lange & Söhne Webform.

10. APPLICABLE LAW AND JURISDICTION

(a) These Terms of Use shall be governed by and construed in accordance with the laws of Switzerland, without reference to conflict of laws provisions. Any dispute, controversy or claim arising out of or in relation to the Terms of Use, including the validity, invalidity, breach or termination thereof, shall be adjudicated or arbitrated in accordance with said Terms of Use.

(b) In the event that any dispute arises out of or in relation to the interpretation, validity and/or application of these Terms of Use, the parties hereto agree to meet in good faith in order to resolve the dispute amicably. Failing amicable resolution within 30 days from the notification of the dispute, the dispute shall be resolved by arbitration in accordance with the Swiss Rules of International Arbitration of the Swiss Chambers of Commerce (“the Rules”) in force on the date when the notice of arbitration is submitted in accordance with the Rules. The arbitration will take place in Geneva, Switzerland and the language of the procedure shall be English. The arbitral tribunal will be composed of one (1) arbitrator who will be designated in accordance with the Rules. The arbitration award shall be final and binding upon the parties, the parties renouncing to appeal against the arbitration award by any ordinary or extraordinary means, whatever the subject of the arbitration is.
